1. About Auri Keys

Auri Keys is a Dubai-based real estate brokerage providing real estate brokerage, marketing, advisory, and property-related services. Through the Platform, users may browse, search, advertise, market, buy, sell, rent, lease, and inquire about real estate properties.

Unless expressly stated otherwise, Auri Keys does not own, develop, construct, manage, inspect, appraise, or guarantee any property listed on the Platform. Auri Keys acts as an intermediary where applicable and does not guarantee the completion, availability, suitability, or success of any transaction.

Auri Keys operates in accordance with the applicable laws and regulations of the United Arab Emirates and the Emirate of Dubai, including regulations issued by the Dubai Land Department (“DLD”) and the Real Estate Regulatory Agency (“RERA”), where applicable.

2. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into legally binding agreements.
• All information you provide is accurate, complete, and up to date.
• Your use of the Platform complies with all applicable laws and regulations.

3. Property Listings

Property listings may be submitted by property owners, developers, licensed brokers, agents, or other authorized persons.

By submitting a listing, you represent and warrant that:

• You have the legal authority to advertise the property.
• All information provided is accurate, complete, current, and not misleading.
• Property descriptions, photographs, videos, pricing, floor plans, specifications, and other information are truthful and up to date.
• Where required by applicable law, all necessary approvals and advertising permits (including applicable RERA advertising permits) have been obtained.
• You will promptly update or remove any inaccurate or outdated information.

Auri Keys reserves the right, at its sole discretion and without prior notice, to edit, reject, suspend, remove, or refuse to publish any listing that it believes violates these Terms, applicable law, or the standards of the Platform.

4. No Property Verification Guarantee

While Auri Keys may conduct moderation or verification procedures where appropriate, we do not independently verify every property listing, ownership claim, title, permit, valuation, price, image, document, or representation made by users, owners, developers, brokers, or third parties.

Users are solely responsible for conducting their own independent due diligence before:

• Purchasing a property.
• Selling a property.
• Leasing or renting a property.
• Paying deposits or other monies.
• Signing contracts or agreements.
• Relying upon any information available on the Platform.
• Engaging with any owner, developer, broker, tenant, buyer, or other party.

5. Accuracy of Information

Property information, pricing, availability, maps, floor plans, images, specifications, measurements, virtual tours, and other content are provided for general informational purposes only.

Although Auri Keys endeavors to keep information accurate and current, we make no representation or warranty that any information on the Platform is accurate, complete, reliable, current, or error-free.

Property prices, availability, specifications, and other details may change without notice.

Unless otherwise stated, all prices displayed on the Platform are in United Arab Emirates Dirhams (“AED”).

6. No Professional Advice

Information provided through the Platform or by Auri Keys is provided for general informational purposes only and shall not be construed as legal, financial, tax, accounting, investment, mortgage, valuation, or other professional advice.

Users should obtain independent professional advice before making any property purchase, sale, lease, rental, investment, financing, or other real estate decision.

7. User Responsibilities

You agree not to:

• Post false, misleading, fraudulent, or deceptive information.
• Impersonate any person or entity.
• Upload unlawful, offensive, defamatory, harmful, or infringing material.
• Interfere with the operation, functionality, or security of the Platform.
• Attempt unauthorized access to any systems, servers, accounts, or data.
• Use automated software, bots, crawlers, scrapers, or similar technologies to access or collect Platform data without prior written authorization.
• Violate any applicable law or regulation.
• Use the Platform in any manner that may damage, disable, overburden, or impair its operation.

You are solely responsible for all activities conducted through your account and for maintaining the confidentiality of your login credentials.

8. Brokerage Relationship

Your use of the Platform does not, by itself, create an agency, brokerage, fiduciary, or client relationship between you and Auri Keys.

Any brokerage, advisory, or representation services provided by Auri Keys shall be governed by separate written agreements where applicable.

9. Third-Party Services and Links

The Platform may contain links to third-party websites, products, services, advertisements, or resources.

Auri Keys does not control, endorse, or assume responsibility for any third-party content, products, services, or websites.

Your dealings with third parties are solely between you and the relevant third party.

10. Intellectual Property

All content on the Platform, including text, graphics, logos, trademarks, website design, software, databases, property compilations, search functionality, layouts, photographs, videos, market information, and other proprietary materials, is owned by or licensed to Auri Keys and is protected under applicable intellectual property laws.

No content may be copied, reproduced, distributed, modified, published, transmitted, displayed, sold, licensed, or commercially exploited without the prior written consent of Auri Keys.

If you believe any content on the Platform infringes your intellectual property rights, please contact us and we will promptly investigate the matter.

11. User Content License

By uploading or submitting any content to the Platform, including property listings, descriptions, photographs, videos, logos, documents, or other materials, you grant Auri Keys a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, publish, distribute, promote, and market such content in connection with operating, improving, and promoting the Platform and related services.

You represent and warrant that you possess all rights necessary to grant this license.

12. Anti-Fraud Notice

Auri Keys will never request payment to a personal bank account unless expressly communicated through authorized channels.

Users are responsible for independently verifying payment instructions before transferring any funds.

Auri Keys shall not be liable for losses arising from fraud, phishing, impersonation, cybercrime, unauthorized communications, or actions of third parties.

13. Anti-Money Laundering Compliance

Auri Keys complies with all applicable Anti-Money Laundering (“AML”), Counter-Terrorist Financing (“CTF”), sanctions, and other regulatory requirements of the United Arab Emirates.

Where required by law, Auri Keys may request identity verification, proof of funds, ownership documentation, or other information before proceeding with a transaction or providing certain services.

14. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Auri Keys disclaims all express and implied warranties, including, without limitation, warranties relating to:

• Platform availability.
• Listing accuracy.
• Property condition.
• Property suitability.
• Transaction outcomes.
• User conduct.
• Service reliability.
• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Auri Keys, its directors, officers, employees, affiliates, agents, representatives, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of profits, commissions, business opportunities, revenue, goodwill, data, or anticipated savings arising out of or relating to the use of the Platform or any transaction connected with the Platform.

Auri Keys shall not be responsible for failed transactions, financing refusals, mortgage approvals, valuation differences, developer defaults, construction delays, regulatory approvals, disputes between parties, or any losses resulting from inaccurate information supplied by third parties.

16. Indemnification

You agree to indemnify, defend, and hold harmless Auri Keys, its directors, officers, employees, affiliates, agents, representatives, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, and reasonable legal fees arising from or relating to:

• Your use of the Platform.
• Your breach of these Terms.
• Your submitted content.
• Your property listings.
• Your transactions.
• Your violation of applicable law or the rights of any third party.

17. Suspension and Termination

Auri Keys reserves the right, at its sole discretion and without prior notice, to suspend, restrict, terminate, or refuse access to the Platform where:

• These Terms have been violated.
• Fraudulent, suspicious, or unlawful activity is suspected.
• Required by law, regulation, or governmental authority.
• Necessary to protect the Platform, its users, or the legitimate interests of Auri Keys.

18. Electronic Communications

By using the Platform, you consent to receive notices, disclosures, updates, and other communications electronically, including by email where appropriate. Such electronic communications satisfy any legal requirement that such communications be in writing.

19. Website Availability

While Auri Keys strives to maintain uninterrupted access to the Platform, we do not guarantee that the Platform will always be available, secure, uninterrupted, or free from errors or viruses.

Access may be suspended, restricted, or interrupted for maintenance, upgrades, technical issues, security reasons, or circumstances beyond our reasonable control.

20. Privacy

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which form an integral part of these Terms.

21. Changes to These Terms

Auri Keys reserves the right to amend these Terms at any time.

Any revised version will be published on the Platform together with the updated “Last Updated” date.

Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.

22. Force Majeure

Auri Keys shall not be liable for any delay or failure in performing its obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, government action, labour disputes, pandemics, cyber-attacks, internet failures, power outages, or telecommunications disruptions.

23. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Auri Keys regarding your use of the Platform and supersede any prior understandings or agreements relating to the subject matter herein.

24. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

25. Waiver

Failure by Auri Keys to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right or remedy available to Auri Keys.

26. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai, unless otherwise required by applicable law.
